This Freelancer Agreement (“Agreement”) is made effective as of Approval Date, between Publisher (“CEO Africa”), and the contributing writer (“Freelancer”).
1. Purpose:
The purpose of this Agreement is to establish the terms and conditions under which the Freelancer will contribute articles to CEO Africa Website, a platform for sharing content related to business, entrepreneurship, and leadership in Africa.
2. Contribution:
The Freelancer agrees to contribute original articles, blog posts, or other content (“Content”) to CEO Africa website on a voluntary basis.
The Freelancer retains the rights to their Content, but grants CEO Africa Blog a non-exclusive, royalty-free license to publish, distribute and promote the Content on the CEO Africa Blog website and associated platforms.
3. Content Guidelines:
The Freelancer agrees to adhere to the content guidelines provided by CEO Africa, including but not limited to:
- Content must be original and not published elsewhere.
- Content must be relevant to the target audience of CEO Africa.
- Content must be well-researched, factually accurate, and written in a professional manner.
- Content must not contain any offensive, defamatory, or inappropriate material.
- Content must comply with all applicable laws and regulations.
4. Editing and Publishing:
CEO Africa reserves the right to edit, revise, or reject any Content submitted by the Freelancer. CEO Africa may notify the Freelancer of any substantial edits or revisions made to their Content prior to publication.
CEO Africa also reserves the right to decide the timing and frequency of publication for the submitted Content.
5. Attribution:
CEO Africa agrees to credit the Freelancer as the author of the Content and provide a byline with the Freelancer’s name and, if applicable, a brief bio or link to their website or social media profile.
6. Compensation:
The Freelancer acknowledges that they are contributing to CEO Africa Blog on a voluntary basis and will not receive any monetary compensation for their contributions.
7. Copyright:
The Freelancer retains the copyright to their Content. CEO Africa agrees not to claim ownership of the Content submitted by the Freelancer as long the agreement remains valid.
8. Termination:
Either party may terminate this Agreement at any time by providing written notice to the other party. Upon termination, CEO Africa will cease publishing the Freelancer’s Content and any previously published Content will remain on the CEO Africa website.
Upon termination,
8.1. CEO Africa shall own all intellectual property rights in and to the Articles, including the copyright.
8.2. Freelancer hereby assigns all right, title and interest in and to the Articles to CEO Africa.
8.3. This Agreement may be terminated by CEO Africa immediately upon written notice in the event of any material breach by Freelancer.
9. Entire Agreement
This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous communications, representations, or agreements.
10. Governing Law:
This Agreement shall be governed by and construed in accordance with the laws of Kenya. Any disputes arising from or related to this Agreement will be subject to the exclusive jurisdiction of the courts in Kenya.
11. ACCEPTANCE:
By submitting Contributions to CEO Africa, the Contributor acknowledges and agrees to be bound by the terms and conditions outlined in this Freelancer Agreement.

This Agreement is effective as of the date first written above.
